Non-Disclosure Agreement

This Non-Disclosure Agreement (the "Agreement") is entered into as of the Effective Date below, by and between Treeova Technologies Inc., a Delaware corporation with its principal place of business at Cedar City, Iron County, Utah ("Company" or "Disclosing Party"), represented by its President/CEO, Austin Sevy, and the undersigned recipient ("Recipient" or "Receiving Party").

1. Purpose

The Company and the Recipient wish to explore a possible business relationship or other collaboration related to Treeova's AI-driven options trading platform — including its Arch-AGI conviction methodology, MetaChart engine, Triconomic economic layer, and related agent infrastructure (the "Purpose"). In connection with the Purpose, the Company may disclose certain Confidential Information to the Recipient.

2. Confidential Information

"Confidential Information" means any non-public information disclosed by the Company, whether orally, in writing, electronically, or otherwise, that is designated confidential or that reasonably should be understood as such. It includes, without limitation:

• Business plans, strategies, financial data, and projections
• Software, algorithms, AI models (including Arch-AGI™, MetaChart, ASI Evolution Engine), source code, prompts, and technical specifications
• Product features, roadmaps, pricing, Triobol economy mechanics, and marketing plans
• Customer lists, trading strategies, agent performance data, paper-trading telemetry, and broker integration details
• Any other proprietary information related to Treeova's operations or technology

3. Obligations

Recipient shall: (a) hold all Confidential Information in strict confidence using at least reasonable care; (b) use it solely for the Purpose; (c) not disclose it to any third party without prior written consent; and (d) limit access to employees, contractors, or advisors with a need to know who are bound by confidentiality obligations at least as protective as those herein.

4. Exclusions

Confidential Information does not include information that (a) is or becomes public through no fault of Recipient; (b) was lawfully in Recipient's possession prior to disclosure; (c) is independently developed without reference to it; or (d) is lawfully obtained from a third party without breach of any confidentiality obligation.

5. Term

This Agreement remains in effect for two (2) years from the Effective Date. Obligations regarding trade secrets survive for as long as such information remains a trade secret under applicable law.

6. Return or Destruction

Upon Company's written request or termination of discussions, Recipient shall promptly return or destroy all Confidential Information and certify in writing that it has done so.

7. No License

Nothing herein grants Recipient any rights, by license or otherwise, to Company's Confidential Information, patents, copyrights, trademarks (including Arch-AGI™ and MetaChart), or other intellectual property.

8. Remedies

Any breach may cause irreparable harm for which monetary damages may be inadequate. Company is therefore entitled to seek injunctive relief in addition to any other remedies at law or in equity.

9. Governing Law

This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-laws principles. Disputes are subject to the exclusive jurisdiction of the state and federal courts in Iron County or Washington County, Utah.

10. Miscellaneous

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. Amendments must be in writing and signed by both parties. If any provision is held invalid, the remainder continues in full force. This Agreement may be executed in counterparts, including electronically.
